1. Acceptance

By accessing or using the Utopian Labs platform, APIs, or integrations (the “Services”), you agree to these Terms and represent that you are acting on behalf of a business. If you do not agree, do not use the Services.

2. Services

Utopian provides AI Agents and models accessible via API. These Agents may also be used through our CRM and workflow integrations (e.g. HubSpot, Zapier). You control all triggers and usage.

3. User Eligibility

The Services are for business use only. You must be authorized to act on behalf of your company. You may not use the Services for personal or individual purposes.

4. Usage Rules

You must use the Services responsibly and in compliance with all applicable laws and platform restrictions.

Use only for lawful business purposes
Comply with GDPR and other relevant data regulations
Do not resell or sublicense without written approval
Do not attempt to reverse engineer or interfere with the system
Do not use the Services to build or improve competing products
You are responsible for all usage from your systems, including workflows, API calls, and automations

Use must remain within reasonable and responsible limits. See ourFair Use Policyfor details. We may restrict or suspend access if these boundaries are exceeded.

5. Pricing & Payments

All usage is metered and billed based on consumption.

Pay-per-use only, no subscriptions
No refunds or cancellations are provided
You are responsible for managing automations and avoiding runaway usage
Failed payments will result in account suspension until resolved

It is your responsibility to monitor and control your usage — all triggered activity is billable.

6. Data & Privacy

We store and process all Inputs and Outputs for logging, billing, abuse prevention, quality control, and service improvement. Input includes any data you send to the Services. Output includes responses generated by our AI Agents.

You must have legal rights to all Input. You must not send us data you do not have permission to use.

We may pre-fill your organization’s data (such as company name or description) with your prior approval.

Where required under applicable law (such as the GDPR), ourData Processing Agreementapplies.

7. Ownership & Use of Input and Output

You provide Input and receive AI-generated Output — together we refer to this as “Content.”

You retain all rights to your Input
We assign you any rights we may have on the Output
Output may be similar to what other users receive
You are solely responsible for how Content is used

We may store Content to operate and improve the Services.

8. AI Accuracy Disclaimer

Our AI Agents generate suggestions and information that may not always be accurate or complete.

Review and validate all Output before relying on it
Do not treat Output as legal, financial, or professional advice
You are fully responsible for decisions made based on Output

Utopian, Inc. disclaims all liability for actions or outcomes based on AI-generated content.

9. Termination

We may suspend or terminate your access to the Services, in whole or in part, if:

You breach these Terms
You engage in illegal, abusive, or harmful behavior
Your use creates technical risk or service degradation
You fail to pay an invoice or a payment method fails

We also reserve the right to delete inactive accounts and associated data after a prolonged period of inactivity.

10. Uptime

We aim to provide reliable access to our Services but do not guarantee uninterrupted service. No SLA is implied or offered.

11. Limitation of Liability

To the fullest extent permitted by law, Utopian, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, any loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim related to the Services is limited to the amount you paid us in the 12 months prior to the event giving rise to the claim.

All use of the Services is at your own risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless Utopian, Inc., its affiliates, and employees from any claims, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Services
Your violation of these Terms
Your Input or reliance on Output
Any third-party claims related to your data or use of the platform

13. Updates to These Terms

We may update these Terms at any time without notice. The latest version will always be available at https://utopianlabs.ai/legal/tos. Continued use of the Services constitutes acceptance of any changes.

Failure to enforce any right is not a waiver of that right.

14. Governing Law

These Terms are governed by the laws of the State of California, excluding its conflict of laws principles. Any dispute will be resolved in the courts of Santa Clara County, California.
